These Terms of Service (“Terms”) set out the legally binding terms and conditions governing your access to, and use of, the Syncrra platform. This includes, without limitation, all software applications, web-based interfaces, mobile or browser-accessible components, application programming interfaces (APIs), artificial intelligence and Agentic AI capabilities, dashboards, workflow engines, analytics tools, documentation, and any other features or services provided by Syncrra (collectively, the “Services”).

These Terms apply to all users of the Services, including administrators, authorised users, employees, contractors, and any individuals accessing the Services on behalf of an organisation or legal entity.

By accessing, registering for, or using any part of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms, along with any policies or documents expressly referenced herein, including the Privacy Policy. Your continued use of the Services constitutes ongoing acceptance of these Terms as they may be updated from time to time.

If you do not agree with these Terms, or if you do not have the authority to accept them on behalf of an organisation, you must not access or use the Services. Continued access or use in such circumstances may result in suspension or termination of access in accordance with these Terms.

These Terms of Service (“Terms”) set out the legally binding terms and conditions governing your access to, and use of, the Syncrra platform.

About Syncrra and Ownership

Syncrra is an AI-powered manufacturing ERP platform designed to support manufacturing organisations in managing end-to-end operations, automating workflows, and gaining real-time operational intelligence across key functional areas. These areas include, but are not limited to, procurement and suppliers, inventory and materials, production execution, machine monitoring, quality control, dispatch, and billing.

The Syncrra platform combines workflow-driven execution, real-time visibility, and artificial intelligence, including Agentic AI capabilities, to help organisations reduce operational friction, improve coordination, and maintain process discipline at scale.

Syncrra is a product developed, owned, and operated by Apptware (“Apptware”, “we”, “our”, or “us”). All rights, title, and interest in the platform, including its underlying technology, intellectual property, and related services, are held exclusively by Apptware.

These Terms apply to all individuals and entities accessing or using Syncrra, including but not limited to administrators, employees, contractors, consultants, and any authorised third parties acting on behalf of a customer organisation. Each user accessing the Services is bound by these Terms, and the customer organisation remains responsible for ensuring compliance by all its users.

Your use of Syncrra is also governed by our Privacy Policy, which describes how personal data and other information are collected, processed, stored, and protected in connection with the Services. These Terms of Service and the Privacy Policy together form a binding legal agreement between you and Apptware and must be read and interpreted together.

Eligibility, Authority, and Acceptance

You may access and use the Syncrra Services only if you meet the eligibility requirements set out in this section.

By using the Services, you represent and warrant that:

  • You are legally capable of entering into a binding agreement under applicable law
  • You are accessing or using Syncrra on behalf of a legal entity, business, or organisation, and not for personal or consumer use
  • You have the necessary authority to bind the organisation you represent to these Terms of Service

If you are accepting these Terms on behalf of an organisation, you confirm that the organisation agrees to be bound by these Terms and that it is responsible for ensuring that all users accessing the Services under its account comply with them.

Acceptance of these Terms occurs when you access, register for, or use the Services, and such acceptance remains in effect for the duration of your use of Syncrra.

Account Registration and User Responsibilities

To access and use the Syncrra platform, you must create an account and provide information that is accurate, complete, and kept up to date at all times. This includes account details, organisational information, and user credentials required to access the Services.

You are responsible for all activities conducted through your account and for ensuring that access to the Services is limited to authorised users only. This responsibility applies whether such access or activity is authorised by you or occurs without your knowledge.

Your responsibilities include, without limitation:

  • Maintaining the confidentiality of login credentials, including usernames, passwords, API keys, and authentication tokens
  • Managing user roles, permissions, and access levels in accordance with your internal policies and operational requirements
  • Ensuring that only authorised personnel access the Services and that access is revoked promptly when no longer required
  • Monitoring account activity and ensuring compliance with these Terms by all users operating under your account

You must notify Apptware promptly and without undue delay if you become aware of, or reasonably suspect, any unauthorised access, security breach, or misuse of your account or the Services.

Apptware shall not be responsible for any loss, damage, or liability arising from unauthorised access caused by your failure to maintain appropriate access controls, credential security, or internal governance practices.

Acceptable Use Policy

You agree to use the Syncrra platform solely for lawful business purposes and in full compliance with all applicable laws, regulations, and recognised industry standards. Use of the Services must not compromise platform security, integrity, availability, or the rights of Apptware or other users.

You must not, and must ensure that your users do not:

  • Use the Services for any illegal, deceptive, fraudulent, or misleading activities
  • Interfere with, disrupt, or attempt to degrade the performance, availability, or security of the platform
  • Attempt to gain unauthorised access to systems, networks, data, or accounts
  • Reverse engineer, decompile, disassemble, copy, or otherwise attempt to derive the underlying source code, logic, or structure of the Services
  • Upload, transmit, or introduce malware, viruses, harmful scripts, or malicious content
  • Circumvent or bypass security controls, monitoring mechanisms, access restrictions, or usage limits

Apptware reserves the right to monitor usage, investigate suspected misuse, and take appropriate action where violations are identified. Such actions may include suspension or termination of access, restriction of functionality, or other measures necessary to protect the Services, customers, or Apptware’s legal and security obligations.

Nothing in this section limits Apptware’s right to take immediate action where continued use of the Services poses a security, legal, or compliance risk.

Subscriptions, Trials, and Commercial Terms

Syncrra is made available to customers on a subscription-based model, with access to the Services governed by the specific plan, configuration, and commercial terms agreed upon between you and Apptware. In certain cases, Apptware may also offer free trials, pilot programmes, or limited evaluations to allow prospective customers to assess the Services before entering into a paid subscription.

The scope of Services available to you depends on the selected subscription plan and may include limitations on features, usage volumes, number of users, data retention, integrations, and support levels. Details of applicable features, limits, and support entitlements are communicated at the time of purchase or trial activation.

Free trials and pilot offerings, where provided, are time-bound and may be subject to functional, usage, or data limitations. Trial access automatically expires at the end of the stated trial period unless converted into a paid subscription. Apptware reserves the right to modify, restrict, or withdraw trial access at any time, including where misuse or security concerns are identified.

Subscription fees are billed in accordance with the pricing, billing cycle, and payment terms agreed upon at the time of subscription. You are responsible for timely payment of all applicable fees, taxes, and charges. Failure to make payment within the agreed timeframe may result in suspension of access to the Services and, if unresolved, termination of the subscription.

Unless expressly agreed otherwise in writing, all fees paid are non-refundable, including fees paid for partially used subscription periods. Suspension or termination due to non-payment does not relieve you of your obligation to pay outstanding amounts.

In some cases, use of the Services may be governed by a separate written agreement, such as a master services agreement, subscription agreement, or statement of work. In the event of any conflict between these Terms and such an agreement, the terms of the separately executed agreement shall prevail.

Data Ownership and Processing

Customer Data Ownership

You retain full ownership of all data uploaded, entered, or generated within Syncrra (“Customer Data”).

Apptware:

  • Does not claim ownership of Customer Data
  • Processes Customer Data only to provide and improve the Services
  • Acts as a data processor on your behalf

You are responsible for ensuring Customer Data is lawful, accurate, and collected in compliance with applicable laws.

Platform and Usage Data

Apptware may collect anonymised and aggregated data related to platform usage for:

  • System monitoring and performance
  • Security and fraud prevention
  • Product improvement and analytics
  • Compliance and audit purposes

Such data does not identify individual users.

Information Security and Controls

Syncrra is designed using security-by-design and security-by-default principles, with technical and organisational controls aligned to recognised industry standards, including ISO/IEC 27001 and SOC 2 frameworks. These controls are intended to protect the confidentiality, integrity, and availability of data processed through the Services.

Security measures implemented within Syncrra include, but are not limited to:

  • Role-based access controls, ensuring that users can access only the data and functionality necessary for their authorised role
  • Encryption of data in transit and at rest, using industry-standard cryptographic protocols to protect information from unauthorised access
  • Workflow-driven approvals and validations, enforcing process discipline and reducing the risk of unauthorised or unintended actions
  • Comprehensive audit logs and activity tracking, capturing system access, user actions, and key operational events to support monitoring, investigation, and compliance
  • Logical separation of customer environments, designed to prevent unauthorised access across customer data and ensure isolation between tenants

Apptware maintains administrative, technical, and procedural safeguards to monitor systems, detect anomalies, and respond to security events in a timely manner. Security controls are reviewed and updated periodically to address evolving threats, regulatory requirements, and operational needs.

While Apptware implements commercially reasonable security measures, you acknowledge that no system can be completely secure. You remain responsible for maintaining appropriate endpoint security, internal access controls, user governance, and credential management within your organisation. This includes ensuring that authorised users follow security best practices and that access is revoked promptly when no longer required.

Additional information regarding data protection, security practices, and privacy safeguards is set out in the Privacy Policy, which forms an integral part of these Terms.

AI, Automation, and Agentic AI Capabilities

Syncrra includes advanced artificial intelligence (“AI”), automation, and Agentic AI capabilities designed to analyse operational data, automate workflows, generate insights, and assist users in monitoring and managing manufacturing execution more effectively. These capabilities may include, but are not limited to, AI-generated dashboards, predictive insights, workflow recommendations, automated alerts, and system-driven actions based on defined rules and configurations.

The AI and Agentic AI features within Syncrra are intended to support and enhance human decision-making, not replace it. The platform is designed to provide contextual information, surface patterns, and reduce manual effort, while ensuring that users retain control over final decisions and actions.

By using the Services, you expressly acknowledge and agree that:

  • AI-generated outputs, insights, recommendations, and actions are informational, assistive, and advisory in nature, and should not be relied upon as the sole basis for operational, financial, regulatory, or strategic decisions
  • Responsibility for all business decisions, operational actions, and outcomes remains entirely with you and your organisation
  • The accuracy, relevance, and usefulness of AI-driven insights depend on the quality, completeness, and timeliness of the data provided by users and connected systems
  • AI and automation features may operate based on configured workflows, historical patterns, or probabilistic models, and may not account for all real-world variables or exceptional circumstances
  • Syncrra does not replace professional judgment, human oversight, or compliance with applicable laws, regulations, safety standards, or industry requirements

Apptware does not warrant or guarantee that AI-driven features will produce specific results, eliminate errors, prevent operational disruptions, or achieve particular business outcomes. The Services are provided as tools to assist execution and visibility, and their effectiveness depends on proper configuration, governance, and human supervision.

You agree that Apptware shall not be liable for any decisions, actions, or outcomes taken by you or your users based on AI-generated insights, recommendations, or automated workflows, except as expressly required by applicable law.

Integrations and Third-Party Services

The Syncrra platform may support integrations with third-party software, tools, systems, applications, or services, including but not limited to accounting systems, enterprise resource planning tools, analytics platforms, messaging services, or other business applications (“Third-Party Services”).

Any use of Third-Party Services in connection with Syncrra is optional and initiated solely at your discretion. Third-Party Services are governed by their own terms of service, privacy policies, and contractual arrangements, and you are responsible for reviewing and complying with such terms before enabling or using any integration.

Apptware does not own, operate, or control Third-Party Services and does not make any representations, warranties, or guarantees regarding their availability, performance, security, accuracy, or reliability. Availability of integrations may depend on third-party systems, APIs, or connectivity, which may change, be limited, or discontinued without notice.

By enabling or configuring an integration, you expressly authorise Syncrra to access, transmit, and process data between the Services and the applicable Third-Party Service in accordance with your configuration and instructions. You remain responsible for ensuring that such data sharing is lawful, appropriate, and compliant with applicable data protection and privacy laws.

Apptware shall not be responsible or liable for:

  • Any failure, downtime, data loss, or interruption caused by Third-Party Services
  • Any unauthorised access, security incident, or data breach originating from Third-Party Services
  • The accuracy, integrity, or handling of data once transmitted to or from Third-Party Services
  • Any claims, damages, or losses arising from your use of Third-Party Services

Use of Third-Party Services is at your own risk. Apptware reserves the right to modify, suspend, or discontinue integrations at any time where required for security, legal, or operational reasons.

Availability, Maintenance, and Support

Apptware makes commercially reasonable efforts to ensure that the Syncrra platform is available, reliable, and accessible to customers in accordance with industry standards for cloud-based enterprise software. However, due to the nature of internet-based services and complex software systems, uninterrupted or error-free access to the Services cannot be guaranteed at all times.

From time to time, Apptware may perform planned maintenance, upgrades, or enhancements to improve functionality, security, performance, or stability of the platform. Where reasonably practicable, advance notice of scheduled maintenance that may impact availability will be provided through the platform or other communication channels. Such maintenance may result in temporary service interruptions or limited functionality.

In addition, unscheduled maintenance or emergency fixes may be required to address security vulnerabilities, system failures, third-party service issues, or other circumstances beyond Apptware’s reasonable control. In such cases, Apptware will act promptly to restore availability but does not guarantee prior notice.

Support services for Syncrra are provided in accordance with the customer’s applicable subscription plan, service tier, or commercial agreement. Support scope, response times, and service levels may vary depending on the plan selected. Apptware does not guarantee resolution times unless explicitly agreed in writing under a service level agreement (SLA).

Apptware shall not be liable for any unavailability, delay, or performance issues resulting from factors outside its reasonable control, including but not limited to internet outages, third-party service failures, force majeure events, or customer-side infrastructure issues.

Intellectual Property Rights

All rights, title, and interest in and to the Syncrra platform, including but not limited to all software, source code, object code, system architecture, workflows, process logic, artificial intelligence and Agentic AI models, algorithms, dashboards, user interfaces, designs, trademarks, service marks, documentation, and any related intellectual property, are and shall remain the exclusive property of Apptware.

Nothing in these Terms grants you any ownership rights in the Services or any related intellectual property. Except as expressly permitted under these Terms, you may not copy, modify, distribute, sublicense, lease, sell, reverse engineer, decompile, or otherwise attempt to derive the underlying source code or structure of the Services.

Subject to your compliance with these Terms and payment of applicable fees, Apptware grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services solely for your internal business purposes during the term of your subscription. This licence does not permit use of the Services for the benefit of any third party or for any purpose not expressly authorised under these Terms.

All rights not expressly granted are reserved by Apptware.

Confidentiality Obligations

Each party acknowledges that, during the course of using the Services, it may receive or have access to confidential or proprietary information of the other party (“Confidential Information”). Confidential Information includes, without limitation, business information, technical data, trade secrets, product roadmaps, pricing, customer data, security practices, and non-public operational or financial information.

Each party agrees to:

  • Use Confidential Information solely for purposes related to the Services
  • Protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care
  • Restrict disclosure of Confidential Information to authorised personnel who have a legitimate need to know and are bound by confidentiality obligations

Confidential Information shall not be disclosed to any third party without prior written consent of the disclosing party, except where disclosure is required by law, regulation, or court order. In such cases, where legally permitted, the receiving party shall provide prompt notice to allow the disclosing party to seek protective measures.

Confidentiality obligations shall survive termination or expiration of these Terms for so long as the information remains confidential.

Privacy, GDPR, and DPDP Act Compliance

Privacy Policy Integration

Use of Syncrra is subject to the Privacy Policy, which forms an integral part of these Terms.

GDPR Compliance

Where GDPR applies:

  • Apptware acts as a data processor
  • Customers act as data controllers
  • Data is processed only on documented instructions
  • Security safeguards and data subject rights are supported

DPDP Act, 2023 Compliance

In accordance with India’s DPDP Act:

  • Personal data is processed for lawful purposes
  • Consent and notice requirements are respected
  • Security safeguards are implemented
  • Data principal rights and grievance mechanisms are supported

Termination and Data Handling

Apptware reserves the right to suspend or terminate your access to the Services, in whole or in part, if:

  • You materially breach these Terms
  • Payment obligations are not met within the applicable grace period
  • Continued use of the Services poses a security, legal, regulatory, or compliance risk
  • Use of the Services violates applicable laws or regulations

Where reasonably practicable, Apptware may provide notice of suspension or termination. However, in cases involving security risks, unlawful activity, or imminent harm, suspension or termination may occur immediately and without prior notice.

You may terminate your subscription in accordance with the terms of your applicable commercial agreement or subscription plan.

Upon termination or expiration of the Services:

  • Your right to access and use the Services will immediately cease
  • User accounts and access credentials will be disabled
  • Data retention, deletion, or return will be handled in accordance with the Privacy Policy and applicable laws
  • Apptware may retain certain information as required for legal, regulatory, audit, or legitimate business purposes

Limitation of Liability

To the maximum extent permitted by applicable law, Apptware shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, or reputational harm, arising out of or related to your use of, or inability to use, the Services.

Apptware shall not be responsible for:

  • Errors, inaccuracies, or outcomes resulting from customer-provided data or user input
  • Decisions or actions taken based on AI-generated insights or recommendations
  • Failures or disruptions caused by third-party services, integrations, networks, or infrastructure outside Apptware’s control

Except in cases of wilful misconduct or where liability cannot be excluded by law, Apptware’s total cumulative liability arising out of or relating to the Services shall not exceed the total fees paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.

These limitations apply regardless of the form of action, whether in contract, tort, negligence, or otherwise, even if Apptware has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Apptware, its affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your misuse of the Services or use in violation of these Terms
  • Your violation of any applicable law, regulation, or industry requirement
  • Any claim that Customer Data infringes or misappropriates the intellectual property, privacy, or other rights of a third party
  • Actions taken by users authorised under your account that breach these Terms

Apptware reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification under this section. You agree to cooperate fully with Apptware in asserting any available defences.

This indemnification obligation shall survive termination or expiration of these Terms.

Changes to These Terms

Apptware may revise or update these Terms from time to time to reflect changes in legal requirements, regulatory obligations, business practices, platform functionality, or security standards.

When material changes are made, Apptware will make reasonable efforts to notify users through the Syncrra website, platform notifications, or other appropriate communication channels. The “Last Updated” date at the top of these Terms will indicate when changes were most recently made.

Your continued access to or use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Services.

Governing Law and Jurisdiction

These Terms, and any dispute, claim, or controversy arising out of or relating to the Services, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

You agree that all legal proceedings arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India, and you hereby consent to such jurisdiction and venue.
